1. Introduction

Welcome to Mercury Infotech Ltd ("Mercury Infotech", "Company", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of our website, products, software, applications, digital platforms, and professional services.

Client means any individual, business, or organisation purchasing or using our services.

Services means all products, software, websites, digital solutions, consulting, and support services provided by Mercury Infotech.

Website means www.mercuryinfotech.co.uk together with all associated webpages.

Content includes text, graphics, code, images, software, videos, documents, and other materials.


4. Eligibility

By using our Services, you confirm that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into binding agreements.
  • Any information you provide is accurate and complete.
  • You will update your information whenever necessary.

5. Acceptance of Orders

Any quotation provided by Mercury Infotech does not constitute a legally binding contract.

A contract shall only exist after:

  • Acceptance of the quotation.
  • Receipt of any required deposit.
  • Written confirmation by Mercury Infotech.

Mercury Infotech reserves the right to refuse any order without any obligation to provide reasons where permitted by applicable law.


6. Changes to Services

Mercury Infotech continually improves its products and services.

We reserve the right to:

  • Introduce new features.
  • Discontinue products or services.
  • Update software.
  • Improve security measures.

Where changes materially affect existing customers, reasonable notice will be provided where practicable.

7. User Accounts

Certain services provided by Mercury Infotech require you to create and maintain a user account.

You are responsible for:

  • Maintaining the confidentiality of your password.
  • All activities carried out using your account.
  • Ensuring your account is used only by authorised persons.
  • Immediately notifying us of any unauthorised access or suspected security breach.

Mercury Infotech is not responsible for any loss or damage resulting from compromised account credentials caused by user negligence.


8. Acceptable Use

When using our Services, you agree that you will not:

  • Use the Services for any unlawful purpose.
  • Upload or distribute malicious software, viruses, or harmful code.
  • Interfere with, disrupt, or damage our systems or networks.
  • Attempt to gain unauthorised access to our systems or user accounts.

  • Reverse engineer, decompile, or disassemble our software except where legally permitted.
  • Send unsolicited or spam communications.
  • Infringe the intellectual property rights of Mercury Infotech or any third party.
  • Upload, publish, or distribute unlawful, offensive, or harmful material.

Mercury Infotech reserves the right to suspend or terminate any account that violates these Terms.


9. Intellectual Property

Unless otherwise agreed in writing, Mercury Infotech retains ownership of:

  • Software.
  • Source code.
  • Frameworks.
  • Templates.
  • Proprietary tools.
  • Documentation.
  • Branding.
  • Website designs prior to ownership transfer.
  • Business methodologies.

Clients retain ownership of:

  • Trademarks.
  • Supplied logos.
  • Photographs.
  • Written content.
  • Business information.
  • Any materials provided by the client.

Ownership of completed work will transfer to the client only after full payment has been received, unless otherwise agreed in writing.

10. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information.
  • Provide all required content promptly.
  • Review and approve work within the agreed timelines.
  • Ensure they have the legal rights to all supplied materials.
  • Comply with all applicable laws and regulations.

Project delays caused by the client may result in revised delivery schedules.


11. Quotations

Unless otherwise stated:

  • Quotations remain valid for 30 days from the date of issue.
  • Prices exclude applicable taxes unless otherwise specified.
  • Quotations may be revised after their expiry date.
  • Any additional work requested will be quoted separately.

12. Payment Terms

Payment terms will be specified in the applicable quotation or invoice.

Unless otherwise agreed:

  • Invoices are payable within 7 days of the invoice date.
  • Overdue invoices may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Services may be suspended until all outstanding balances have been paid.

Mercury Infotech reserves the right to require a deposit before commencing any work.


13. Refund Policy

Due to the bespoke nature of our digital services, payments are generally non-refundable once work has commenced.

Refund requests will be assessed on an individual basis.

Refunds will not normally be provided for:

  • Completed design work.
  • Completed development work.
  • Completed software implementation.
  • Domain registrations.
  • Hosting services.
  • Third-party licence purchases.
  • Custom software development.

Nothing in this clause affects your statutory consumer rights.


14. Subscription Services

Where services are provided on a subscription basis:

  • Subscriptions renew automatically unless cancelled.
  • Billing occurs according to the selected subscription plan.
  • Cancellation does not normally result in a refund for the current billing period.

Clients remain responsible for all charges incurred prior to cancellation.


15. Website Hosting

Where Mercury Infotech provides website hosting:

  • Reasonable uptime will be maintained.
  • Scheduled maintenance may be carried out.
  • Temporary service interruptions may occur.
  • Security updates may require temporary downtime.

Continuous, uninterrupted availability of hosting services cannot be guaranteed.


16. Domain Names

Domain name registrations are subject to the rules and policies of the relevant domain registry.

  • Clients are responsible for ensuring that requested domain names do not infringe the rights of any third party.
  • Mercury Infotech cannot guarantee the continued availability of any domain name until the registration process has been successfully completed.

17. Third-Party Services

Our Services may integrate with or rely upon third-party providers, including but not limited to:

  • Google
  • Microsoft
  • Meta
  • Stripe
  • PayPal
  • WhatsApp
  • Cloudflare
  • YouTube
  • Other third-party service providers.

Mercury Infotech is not responsible for any service interruptions, outages, or policy changes affecting third-party platforms or services.


18. Project Timelines

Estimated delivery dates are provided in good faith and are based on the information available at the time of quotation.

Project delays may occur due to:

  • Delays in client feedback or approvals.
  • Change requests made during the project.
  • Technical issues.
  • Delays caused by third-party providers.
  • Force majeure or events beyond our reasonable control.

Where delays are caused by the Client, project timelines will automatically be extended accordingly.


19. Change Requests

Any request that falls outside the original agreed project scope may:

  • Require additional fees.
  • Extend the agreed delivery timeline.
  • Require a revised quotation.

All changes to the project scope should be agreed upon in writing before additional work begins.


20. Website Development Services

Mercury Infotech provides bespoke website development services tailored to each Client's individual requirements.

Our services may include:

  • Business Websites.
  • Corporate Websites.
  • Landing Pages.
  • One Page Websites.
  • E-commerce Websites.
  • Custom Web Applications.
  • Website Maintenance.
  • Website Optimisation.

The Client agrees to provide all required content, branding assets, and approvals necessary for the successful completion of the project.

Where delays occur due to the Client's failure to provide the required information or approvals, Mercury Infotech reserves the right to revise the project timeline accordingly.

Unless otherwise agreed in writing, a website will be deemed accepted seven (7) days after delivery if no defects or issues are reported by the Client.


21. Graphic Design Services

Mercury Infotech provides creative design services including logos, branding assets, marketing materials, digital creatives, and print-ready artwork.

The Client acknowledges that:

  • Creative work is subjective in nature.
  • Revisions are limited to the number specified in the quotation or proposal.
  • Additional revisions may incur additional charges.

Ownership of the final approved artwork transfers to the Client only after full payment has been received.

Unless otherwise agreed in writing, Mercury Infotech reserves the right to showcase completed work within its portfolio for promotional purposes.

22. Business Management CRM Solutions

Mercury Infotech develops and provides Business Management CRM solutions designed to manage customers, workflows, applications, reporting, payments, users, and operational processes.

Clients are responsible for:

  • Ensuring all information entered into the CRM is lawful and accurate.
  • Maintaining appropriate user permissions and access controls.
  • Protecting login credentials and account security.
  • Regularly reviewing and maintaining stored information.

Mercury Infotech shall not be responsible for:

  • Incorrect information entered by users.
  • Accidental deletion of data by authorised users.
  • Business decisions made using CRM reports or analytics.
  • Misuse of administrative privileges by client users.

Where Mercury Infotech hosts CRM systems, reasonable efforts will be made to maintain system availability, security, and regular backups.


23. Appointment Scheduling Solutions

Our Appointment Scheduling platform enables businesses to manage appointments and bookings electronically.

Clients acknowledge that:

  • Appointment reminders do not guarantee customer attendance.
  • Mercury Infotech cannot guarantee the delivery of SMS, email, or WhatsApp notifications due to third-party service providers.
  • Internet connectivity and external systems may affect booking availability.

Clients remain responsible for confirming appointments where necessary.


24. Digital NFC Business Cards

Digital NFC Business Cards enable business information to be shared electronically using NFC technology and QR codes.

Clients are responsible for ensuring that:

  • All published information is accurate and up to date.
  • All published content complies with applicable laws.
  • Links provided do not contain malicious, misleading, or unlawful content.

Mercury Infotech is not responsible for any losses resulting from outdated information where Clients fail to update their digital profile.

Compatibility of NFC Business Cards depends on the capabilities and settings of individual devices.


25. Digital Catalog Builder

Our Digital Catalog Builder enables businesses to publish digital catalogues, menus, brochures, and product listings.

Clients are solely responsible for:

  • Product descriptions.
  • Product pricing.
  • Promotional and marketing content.
  • Product availability.
  • Compliance with all applicable advertising and consumer protection laws.

Mercury Infotech does not verify or guarantee the accuracy of information uploaded by Clients.


26. Customer Feedback Solution

The Customer Feedback Solution assists businesses in collecting customer reviews and managing customer feedback.

Clients agree not to:

  • Submit fake or misleading reviews.
  • Manipulate review ratings or feedback scores.
  • Impersonate customers or other individuals.
  • Misuse AI-generated review suggestions.
  • Breach Google Review policies or the rules of any other third-party review platform.

Mercury Infotech accepts no responsibility for actions, decisions, or penalties imposed by third-party review platforms.

27. One Page Website Builder

Our One Page Website Builder enables Clients to create professional websites using pre-designed layouts.

While templates may be used, each website is customised using the Client's branding, content, and business information.

Clients are responsible for reviewing and approving all published content before the website goes live.


28. Software Updates

Mercury Infotech may periodically release:

  • Security updates.
  • Bug fixes.
  • Performance improvements.
  • Feature enhancements.

Updates may be installed automatically where necessary to maintain security, compatibility, or system stability.

Clients using self-hosted software are responsible for installing updates unless software maintenance is covered under a separate maintenance agreement.


29. Maintenance & Support

Support services are provided in accordance with the support package purchased by the Client.

Support services may include:

  • Technical assistance.
  • Software troubleshooting.
  • Bug resolution.
  • Guidance on product usage.

Support services do not normally include:

  • Issues relating to third-party software or services.
  • Custom development outside the agreed project scope.
  • Training, unless specifically included within the purchased support package.

30. Intellectual Property Rights

Unless expressly transferred in writing, all intellectual property rights remain vested in Mercury Infotech.

This includes, but is not limited to:

  • Source code.
  • Software architecture.
  • Databases.
  • Algorithms.
  • Workflows.
  • APIs.
  • Proprietary tools.
  • User interfaces.
  • Templates.
  • Graphics created internally.
  • Documentation.

Nothing contained within these Terms transfers ownership of Mercury Infotech's intellectual property unless expressly agreed in writing.

31. Client Content

Clients retain ownership of all content supplied by them, including:

  • Logos
  • Trademarks
  • Photographs
  • Documents
  • Product Information
  • Videos
  • Marketing Materials

By providing content, the Client warrants that they possess all necessary rights and licences to use and provide such materials.

The Client agrees to indemnify Mercury Infotech against any claims arising from copyright infringement or other intellectual property disputes relating to the supplied materials.


32. Licence to Use

Upon receipt of full payment, Mercury Infotech grants the Client a non-exclusive licence to use the completed deliverables for their intended business purposes.

Unless otherwise agreed, the Client may not:

  • Resell Mercury Infotech software.
  • Redistribute source code.
  • Sublicense proprietary software.
  • Remove copyright notices.
  • Reverse engineer proprietary systems except where permitted by law.

Separate licence agreements may apply to certain software products.


33. Open Source Software

Some solutions may incorporate open-source software licensed under separate open-source licences.

Such software remains subject to its respective licence terms.

Mercury Infotech does not claim ownership of third-party open-source components.


34. Beta Features

From time to time, Mercury Infotech may release experimental or beta functionality.

Beta features may:

  • Contain defects.
  • Change without notice.
  • Be discontinued.
  • Operate differently from production software.

Beta features are provided on an "as available" basis and are used at the Client's own risk.


35. Client Cooperation

Successful delivery of services depends upon timely cooperation from the Client.

Clients agree to:

  • Provide approvals promptly.
  • Attend scheduled meetings where required.
  • Supply requested information.
  • Communicate project decisions clearly.

Delays in client cooperation may affect project delivery schedules and project costs.


36. Service Availability

While Mercury Infotech strives to provide reliable services, uninterrupted availability cannot be guaranteed.

Temporary interruptions may occur due to:

  • Scheduled maintenance.
  • Security updates.
  • Telecommunications failures.
  • Cloud provider outages.
  • Cyber incidents.
  • Force majeure events.

Mercury Infotech will make reasonable efforts to restore services as quickly as practicable.


Warranties, Liability, Confidentiality & Legal Provisions

37. Warranties

Mercury Infotech warrants that all services will be performed with reasonable skill, care, and diligence consistent with generally accepted industry standards.

Unless expressly stated in writing, Mercury Infotech does not warrant that:

  • Services will be uninterrupted.
  • Software will be entirely error-free.
  • All defects can be corrected.
  • Services will meet every individual business expectation.
  • Third-party services will remain continuously available.

Clients acknowledge that all software systems require ongoing maintenance, updates, and occasional troubleshooting.


38. Client Warranties

The Client represents and warrants that:

  • All information supplied is accurate and complete.
  • They possess all necessary rights and licences for materials provided to Mercury Infotech.
  • Their use of our Services complies with all applicable laws and regulations.
  • They will not knowingly upload malicious, unlawful, defamatory, or infringing content.

The Client accepts full responsibility for the legality and accuracy of all content submitted.


39. Disclaimer

To the fullest extent permitted by applicable law, Mercury Infotech provides its website, software, and services on an "as is" and "as available" basis.

Except where expressly stated, Mercury Infotech disclaims all warranties, whether express or implied, including but not limited to:

  • Merchantability.
  • Satisfactory quality.
  • Fitness for a particular purpose.
  • Uninterrupted availability.
  • Compatibility with every device or browser.
  • Accuracy of third-party information.

Nothing in these Terms excludes or limits any statutory rights that cannot legally be excluded.


40. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot lawfully be excluded under the laws of England and Wales.

Subject to the above, Mercury Infotech shall not be liable for:

  • Indirect losses.
  • Consequential losses.
  • Loss of profits.
  • Loss of revenue.
  • Loss of anticipated savings.
  • Business interruption.
  • Reputational damage.
  • Loss of goodwill.
  • Loss of contracts.
  • Corruption of data.
  • Loss of business opportunities.

Where liability cannot be excluded, Mercury Infotech's total aggregate liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim during the twelve (12) months preceding the event.

41. Indemnity

The Client agrees to indemnify and hold harmless Mercury Infotech, its directors, employees, contractors, and affiliates against any claims, damages, liabilities, costs, or expenses arising from:

  • Misuse of our Services.
  • Breach of these Terms.
  • Infringement of intellectual property rights.
  • Unlawful content supplied by the Client.
  • Violation of applicable laws.
  • Negligent or fraudulent acts by the Client.

This indemnity shall survive the termination of the agreement.


42. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of their business relationship.

Confidential Information includes, but is not limited to:

  • Business strategies.
  • Source code.
  • Pricing structures.
  • Technical documentation.
  • Customer information.
  • Financial information.
  • Software architecture.
  • Trade secrets.
  • Commercial plans.

Confidential Information may only be disclosed:

  • With prior written consent.
  • Where required by applicable law.
  • To professional advisers who are bound by confidentiality obligations.

This confidentiality obligation survives the termination of the agreement.


43. Data Protection

Both Mercury Infotech and the Client agree to comply with all applicable data protection legislation, including:

  • UK General Data Protection Regulation (UK GDPR).
  • Data Protection Act 2018.
  • Privacy and Electronic Communications Regulations (PECR).
  • Data (Use and Access) Act 2025, where applicable.

Where Mercury Infotech processes personal data on behalf of a Client, the parties may enter into a separate Data Processing Agreement (DPA) where required by law.

Clients remain responsible for ensuring they have an appropriate lawful basis for collecting and processing any personal data submitted through Mercury Infotech's platforms.


44. Suspension of Services

Mercury Infotech reserves the right to suspend or restrict access to any Service where:

  • Invoices remain unpaid.
  • Unlawful activity is suspected.
  • Security risks are identified.
  • System abuse occurs.
  • Maintenance is required.
  • Legal obligations require suspension.

Where reasonably practicable, advance notice of any suspension will be provided.


45. Termination

Either party may terminate the agreement in accordance with any applicable contract or service agreement.

Mercury Infotech may terminate Services immediately where:

  • The Client materially breaches these Terms.
  • Fraudulent or illegal activity is identified.
  • Payment obligations are not fulfilled.
  • Continued provision of Services would expose Mercury Infotech to legal or security risks.

Upon termination:

  • Outstanding invoices become immediately payable.
  • Licences granted under these Terms may cease.
  • Access to hosted Services may be withdrawn.
  • Data may be retained or deleted in accordance with our Privacy Policy and contractual obligations.

46. Force Majeure

Mercury Infotech shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters.
  • Pandemics.
  • Cyber-attacks.
  • Internet outages.
  • Power failures.
  • Governmental actions.
  • Strikes.
  • Civil unrest.
  • War.
  • Terrorism.
  • Failures of third-party providers.

Performance of affected obligations shall be suspended for the duration of the force majeure event.


47. Assignment

The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of Mercury Infotech.

Mercury Infotech may assign its rights and obligations as part of a merger, acquisition, corporate restructuring, or the sale of business assets.


48. Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Where possible, the invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent and purpose.


49. No Waiver

Failure by Mercury Infotech to enforce any provision of these Terms shall not constitute a waiver of any right or remedy.

Any waiver shall only be effective if made expressly in writing.


50. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, quotations, Statements of Work, and any signed agreements, constitute the entire agreement between Mercury Infotech and the Client concerning the relevant Services.

They supersede all prior discussions, proposals, negotiations, representations, and communications relating to the same subject matter.


51. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable law.


52. Changes to These Terms

Mercury Infotech reserves the right to amend these Terms and Conditions at any time.

Material changes will be published on our website together with an updated "Last Updated" date.

Where required by law or contract, Clients will be notified of significant amendments.

Continued use of our website or Services after the revised Terms become effective constitutes acceptance of those revised Terms.
